Credit Purchases

Credits are purchased in bundles and are non-refundable. Credits expire 12 months from the date of purchase and are non-transferable between accounts.

Unused credits upon expiration are forfeited. We reserve the right to modify credit pricing and bundles at any time with notice to existing users.

Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account.

You are responsible for all activities that occur under your account, whether or not you authorized those activities.

Acceptable Use

You may not use Lidian to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Generate harmful, illegal, or abusive content
• Attempt to circumvent usage limits or security measures
• Reverse engineer or attempt to extract our models

We reserve the right to suspend or terminate accounts that violate these terms.

Service Availability

Lidian is provided "as is" and "as available." We do not guarantee uninterrupted or error-free service. Scheduled maintenance may occur with reasonable notice when possible.

Termination

We may suspend or terminate your account at any time for violation of these terms, suspicious activity, or for any other reason at our sole discretion. Upon termination, your right to use the service immediately ceases.

Liability Limitation

To the fullest extent permitted by law, Lidian shall not be liable for indirect, incidental, special, or consequential damages arising from your use of the service. Our total liability is limited to the amount you paid for credits in the 12 months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Lidian, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the service
• Your violation of these terms or any law
• Your violation of any third-party right
• Any content you submit or transmit through the service

Third-Party Services Disclaimer

Lidian acts as a proxy and interface to third-party AI services and providers. These third parties are independent of Lidian, and we have no control over their actions, policies, or terms.

Third-party providers may modify their services, pricing, or terms at any time without notice. Lidian is not liable for any changes, disruptions, or discontinuations of third-party services.

Your use of third-party AI services through Lidian is also governed by those providers' terms and conditions, which you should review separately.

Cryptocurrency Terms

Lidian reserves the right, at its sole discretion, to accept cryptocurrency as payment for credits. Any acceptance of cryptocurrency is subject to compliance with applicable laws and regulations, including OFAC and sanctions screening.

We are not obligated to accept cryptocurrency at any time or for any transaction. If we choose to accept cryptocurrency, all transactions are final and non-reversible once confirmed on the blockchain.

You are responsible for any transaction fees, network congestion, or exchange rate fluctuations associated with cryptocurrency payments.

Dispute Resolution & Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these terms or the service shall be resolved by binding arbitration. You and Lidian waive any right to a trial by jury or to participate in a class action.

Arbitration shall be administered by the American Arbitration Association (AAA) or JAMS, under their rules for consumer arbitration. The arbitration shall be conducted in Palm Springs, California, and the arbitrator's decision shall be final and binding.

This agreement to arbitrate is intended to be broadly construed and applies to all disputes except those that may be brought in small claims court.

Governing Law & Jurisdiction

These terms are governed by the laws of the State of California without regard to conflict of law principles. Any disputes not subject to arbitration shall be exclusively resolved in the courts of Riverside County, California, with venue proper in Palm Springs.

General Provisions

Force Majeure: Lidian is not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, war, strikes, or government actions.

Severability: If any provision of these terms is found unenforceable, the remaining provisions remain in full force.

No Waiver: Our failure to enforce any provision does not waive our right to enforce it later.

Entire Agreement: These terms constitute the entire agreement between you and Lidian regarding the service.

Electronic Acceptance: By using this service or clicking to accept these terms, you agree to conduct transactions electronically and acknowledge that electronic signatures and agreements have the same legal effect as written ones.

If You Don't Agree: If you do not agree to these terms, you may not use the Lidian service. Your continued use of the service constitutes acceptance of these terms.
